Il se n\u00e9gocie souvent \u00e0 prix d\u2019or selon la localisation du local et l\u2019on a tendance \u00e0 s\u2019arr\u00eater aux conditions de vie du contrat lors des n\u00e9gociations (loyer, modalit\u00e9s de r\u00e9vision du loyer, partage des charges\u2026). Pourtant, il est des clauses qui devraient \u00eatre davantage regard\u00e9es et n\u00e9goci\u00e9es d\u00e8s la conclusion du bail. Je pense notamment aux conditions de sous-location, de r\u00e9siliation et de jouissance du bien.<\/p>\n\n\n\n<p><strong>Les conditions de sous-location<\/strong><\/p>\n\n\n\n<p>Par principe, la sous-location d\u2019un bail commercial est interdite dans les contrats de bail. Cela tient au fait que le contrat est n\u00e9cessairement&nbsp;<em>intuitu personae<\/em>&nbsp;et a une destination limit\u00e9e (activit\u00e9 exploit\u00e9e). Le propri\u00e9taire doit savoir qui occupe ses locaux et quelle activit\u00e9 y est exploit\u00e9e.<\/p>\n\n\n\n<p>Cependant, il pourrait arriver que le locataire cesse l\u2019exploitation de son fonds et se retrouve engag\u00e9 \u00e0 payer d\u2019importants loyers, pendant plusieurs ann\u00e9es, sans les ressources ad\u00e9quates.<\/p>\n\n\n\n<p>Dans ce cas, il serait pr\u00e9f\u00e9rable, tant pour le propri\u00e9taire que pour le locataire, de pr\u00e9voir, d\u00e8s la conclusion du contrat, une possibilit\u00e9 de sous-location avec, par exemple, agr\u00e9ment du propri\u00e9taire, d\u00e9limitation du type d\u2019activit\u00e9 exploitable, conditions de loyers et de responsabilit\u00e9s r\u00e9ciproques.<\/p>\n\n\n\n<p>Actuellement la sous-location n\u2019est possible qu\u2019apr\u00e8s accord expresse du bailleur (\u00e0 demander par lettre RAR), accompagn\u00e9 d\u2019un formalisme et de d\u00e9lais contraignants. Cette solution est peu propice \u00e0 la rapidit\u00e9 et la r\u00e9activit\u00e9 dont doivent faire preuve les entrepreneurs d\u2019aujourd\u2019hui.<\/p>\n\n\n\n<p>Locataires, bailleurs, pensez \u00e0 ce plan B d\u00e8s la n\u00e9gociation de votre contrat!<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>L\u2019indemnit\u00e9 d\u2019\u00e9viction en cas de refus de renouvellement d\u00e9pourvu de motif ou pour motif \u00e9quivoque<\/strong><\/h2>\n\n\n\n<p>Cette indemnit\u00e9 est due lorsque la r\u00e9siliation est initi\u00e9e par le propri\u00e9taire, suite au refus de renouvellement du bail d\u00e9pourvu de motif l\u00e9gitime.<\/p>\n\n\n\n<p>A ce titre, La Cour de cassation a rappel\u00e9, dans son arr\u00eat du 28 juin 2018 (n\u00b017-18.756), qu\u2019 \u00ab\u00a0<em>un cong\u00e9 d\u00e9livr\u00e9 sans motif ou pour motifs \u00e9quivoques par le bailleur produit n\u00e9anmoins ses effets et met fin au bail commercial, d\u00e8s lors que le bailleur est en toujours en droit de refuser le renouvellement du bail\u00a0\u00e0 la condition de payer une indemnit\u00e9 d\u2019\u00e9viction\u00a0(3e Civ., 1er f\u00e9vrier 1995, pourvoi n\u00b0\u00a093-14.808, Bull. 1995, III, n\u00b0\u00a035\u00a0; 3e Civ., 28 octobre 2009, pourvois n\u00b0\u00a007-18.520 et 08-16.135, Bull. 2009, III, n\u00b0\u00a0234)\u00a0; que la nullit\u00e9 de ce cong\u00e9 pr\u00e9vue par l\u2019article L. 145-9 du code de commerce est\u00a0une nullit\u00e9 relative qui ne peut \u00eatre soulev\u00e9e que par le preneur\u00a0; que celui-ci peut soit renoncer \u00e0 la nullit\u00e9 du cong\u00e9 en sollicitant une indemnit\u00e9 d\u2019\u00e9viction et en se maintenant dans les lieux en l\u2019attente de son paiement en application de l\u2019article L. 145-28 du m\u00eame code, soit s\u2019en pr\u00e9valoir en optant pour la poursuite du bail\u00a0; que, par suite, la circonstance que le preneur reste ou non dans les lieux est sans incidence sur les effets du cong\u00e9 irr\u00e9gulier<\/em>\u00ab\u00a0.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Les limites de l\u2019offre de vente d\u2019un local commercial au locataire<\/strong><\/h2>\n\n\n\n<p>L\u2019article L 145-46-1 du code du commerce oblige le bailleur, d\u00e9sireux de c\u00e9der son local commercial, d\u2019en informer le locataire en pr\u00e9cisant&nbsp;le prix et les conditions de la vente envisag\u00e9e. L\u2019acceptation de l\u2019offre par le locataire vaut vente.<\/p>\n\n\n\n<p>La chambre commerciale de la Cour de cassation, dans un arr\u00eat du 28 juin 2018 (n\u00b017-14.605), est venue pr\u00e9ciser que le prix propos\u00e9 au locataire ne doit pas comprendre les frais d\u2019agence qui auraient \u00e9t\u00e9 r\u00e9percut\u00e9s sur le prix de vente propos\u00e9 \u00e0 un tiers.<\/p>\n\n\n\n<p>Cette solution semble justifi\u00e9e : le locataire doit \u00eatre inform\u00e9 de la vente, sans que le veneur n\u2019ait \u00e0 passer par l\u2019interm\u00e9diaire d\u2019un agent immobilier, c\u2019est une obligation l\u00e9gale. D\u00e8s lors, le locataire n\u2019a pas \u00e0 supporter les frais de recherche d\u2019un acqu\u00e9reur que le vendeur engagerait s\u2019il devait trouver un tiers acqu\u00e9reur!<\/p>\n\n\n\n<p><strong>Une application restreinte de l\u2019article L145-46-1 du code de commerce<\/strong><\/p>\n\n\n\n<p>Cet article, pr\u00e9c\u00e9demment cit\u00e9, ne s\u2019applique pas, selon la Cour de cassation (Com, 17 mai 2018, 17-16.113), lorsque le local commercial fait partie d\u2019un ensemble plus vaste d\u2019immeubles et de terrains, constituant l\u2019actif d\u2019une SCI mise en liquidation et que cet ensemble fait l\u2019objet d\u2019une vente aux ench\u00e8res publiques.<\/p>\n\n\n\n<p>Autrement dit, l\u2019article L154-46-1 du code de commerce, d\u2019ordre public, ne s\u2019applique que lorsque la vente porte exclusivement sur le bien lou\u00e9, non sur un ensemble plus vaste de biens immobiliers comprenant le bien objet du bail commercial.<\/p>\n\n\n\n<div class=\"wp-block-uagb-container uagb-block-dcc82a37 alignfull uagb-is-root-container\"><div class=\"uagb-container-inner-blocks-wrap\">\n<div class=\"wp-block-uagb-container uagb-block-d73c9f31\">\n<figure class=\"wp-block-image size-full\"><img fetchpriority=\"high\" decoding=\"async\" width=\"640\" height=\"360\" src=\"https:\/\/ledreau.fr\/wp-content\/uploads\/2023\/06\/mikhail-pavstyuk-EKy2OTRPXdw-unsplash-1.jpg\" alt=\"\" class=\"wp-image-1184\" srcset=\"https:\/\/ledreau.fr\/wp-content\/uploads\/2023\/06\/mikhail-pavstyuk-EKy2OTRPXdw-unsplash-1.jpg 640w, https:\/\/ledreau.fr\/wp-content\/uploads\/2023\/06\/mikhail-pavstyuk-EKy2OTRPXdw-unsplash-1-300x169.jpg 300w\" sizes=\"(max-width: 640px) 100vw, 640px\" \/><\/figure>\n<\/div>\n\n\n\n<div class=\"wp-block-uagb-container uagb-block-baa3f739\">\n<p class=\"has-text-align-center\"><strong>L\u2019actualit\u00e9 juridique est pleine de subtilit\u00e9s qui doivent alerter bailleurs et preneurs, d\u00e8s la conclusion de leur contrat, au risque, \u00e0 d\u00e9faut, de cr\u00e9er des contentieux longs et co\u00fbteux!<\/strong><\/p>\n<\/div>\n<\/div><\/div>\n","protected":false},"excerpt":{"rendered":"<p>Le bail commercial est un incontournable du monde des affaires.
